This End User License Agreement ("Agreement") is a legal agreement between you, the end user ("User" or "You"), and Wood U Imagine™ ("Licensor" or "We") for the use of our software and any associated materials (the "Software").

ENTIRE AGREEMENT

This EULA constitutes the entire agreement between you and www.wooduimagine.com with respect to the use of the www.wooduimagine.com website and services.

RESTRICTIONS ON USE YOU MAY NOT:

You may not copy, modify, distribute, sell, transfer, sublicense, or otherwise use the www.wooduimagine.com website and services or any portion thereof without the express written permission of www.wooduimagine.com. You may not use or copy any content, images, trademarks, logos, or other intellectual property displayed on the www.wooduimagine.com website without obtaining express written permission from www.wooduimagine.com. All trademarks, service marks, trade names, logos, and icons appearing on the www.wooduimagine.com website are proprietary to www.wooduimagine.com or its affiliates.  Copy, modify, distribute, sell, or transfer any part of the Site or any products or services offered on the Site; reverse engineer, decompile, or disassemble any part of the Site or any products or services offered on the Site; use the Site or any products or services offered on the Site for any illegal or unauthorized purpose; use the Site or any products or services offered on the Site to harass, abuse, or harm others; use the Site or any products or services offered on the Site in any way that could damage, disable, overburden, or impair the Site or any products or services offered on the Site;

use any automated means to access the Site or any products or services offered on the Site, including but not limited to bots, spiders, scrapers, or other similar means; interfere with the security of, or otherwise abuse, the Site or any products or services offered on the Site; use the Site or any products or services offered on the Site in any way that violates any applicable law or regulation; or use the Site or any products or services offered on the Site in any way that infringes any intellectual property or another proprietary right of any party.

OWNERSHIP

The Software is owned and copyrighted by Licensor. User acknowledges that Licensor retains all rights, title, and interest in and to the Software, including all intellectual property rights. The user agrees not to modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software, except to the extent applicable laws specifically prohibit such restriction.

INTELLECTUAL PROPERTY.

The Website and all content and materials included on the Website, including without limitation, text, graphics, logos, images, audio clips, video clips, data, software, and other materials (collectively, the "Content"), are the property of Company or its licensors and are protected by United States and international copyright laws. Users may not use the Website or the Content except as expressly permitted in this Agreement.

USER CONTENT.

Users may have the opportunity to submit or upload content to the Website, including without limitation, comments, reviews, or other content ("User Content"). User represents and warrants that User owns or has the necessary licenses, rights, and permissions to submit or upload User Content to the Website. User grants to Company a non-exclusive, worldwide, royalty-free license to use, copy, modify, distribute, and display User Content on the Website.

PROHIBITED CONDUCT.

User shall not use the Website to:

(a) upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable;

(b) harm minors in any way;

(c) impersonate any person or entity, including without limitation, a Company representative or another User;

(d) upload, post, transmit, or otherwise make available any content that User does not have a right to make available under any law or under contractual or fiduciary relationships;

(e) upload, post, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;

(f) upload, post, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation;

(g) upload, post, transmit, or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware, or telecommunications equipment;

(h) interfere with or disrupt the Website or servers or networks connected to the Website, or disobey any requirements, procedures, policies, or regulations of networks connected to the Website; or

(i) intentionally or unintentionally violate any applicable local, state, national, or international law.

LICENSE GRANT

www.wooduimagine.com grants you a non-exclusive, non-transferable, limited license to access and use the www.wooduimagine.com website and services for your personal or commercial use, subject to the terms and conditions of this EULA.

COPYRIGHT AND TRADEMARK POLICIES

All trademarks, service marks, trade names, logos, and icons appearing on the www.wooduimagine.com website are proprietary to www.wooduimagine.com or its affiliates. You may not use or copy any content, images, trademarks, logos, or other intellectual property displayed on the www.wooduimagine.com website without obtaining express written permission from www.wooduimagine.com.  The www.wooduimagine.com website and services, including all content and information provided on or through the website and services, are owned by www.wooduimagine.com and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not modify, copy, reproduce, distribute, transmit, display, publish, sell, license, create derivative works, or otherwise use any content or information obtained from or through the www.wooduimagine.com website and services without the prior written permission of www.wooduimagine.com.

DAMAGE GOODS POLICY

We take great care in packaging our products to ensure they arrive in good condition. If, however, your Product arrives damaged, please contact our customer service department at support@wooduimagine.com within 3 business days of receipt. We will require photographs of the damaged Product and packaging to process your claim

SHIPPING POLICY

We offer to ship to USA and CANADA. Shipping costs and delivery times may vary based on the shipping method selected and the destination country. We are not responsible for any customs fees, duties, or taxes that may be charged upon delivery.

REFUND POLICY

We offer a 14-day refund policy for any products purchased through the www.wooduimagine.com website and services. If you are not satisfied with your purchase for any reason, you may request a refund within 14 days of the date of receipt. We will work with customer to find a solution and will issue refunds on a cas-by-case basis. Refunds will be issued in the original form of payment and a refund fee will be charged.

TERMINATION

This EULA will terminate immediately upon your breach of any of the terms and conditions of this EULA. You must immediately cease all use of the www.wooduimagine.com website and services upon termination.

GOVERNING LAW AND JURISDICTION

This EULA shall be governed by and construed in accordance with the laws of the Arizona, USA without regard to its conflict of law provisions. Any dispute arising out of or related to this EULA shall be brought in the [state/province/country] courts.

CHANGES TO THIS EULA

www.wooduimagine.com reserves the right to modify this EULA at any time. Your continued use of the www.wooduimagine.com website and services after any such modification shall constitute your acceptance of the modified EULA. OWNERSHIP AND INTELLECTUAL PROPERTY The Site and any products or services offered on the Site are the property of the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws. You acknowledge and agree that you have no ownership or intellectual property rights in the Site or any products or services offered on the Site.

DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET THE USER'S REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

LIMITATION OF LIABILITY

LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT. IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY TO THE USER FOR ALL DAMAGES EXCEED THE AMOUNT OF ONE HUNDRED DOLLARS ($100.00).

COPYRIGHT: All content included in the Products, such as text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of the Licensor and is protected by United States and international copyright laws. The End User may not use any content without the prior written consent of the Licensor.

REFUND POLICY: If you are not completely satisfied with your purchase, you may request a refund within 14 days of receipt. To request a refund, please contact our customer service department at support@wooduimagine.com. Please note that we access on a case-by-case basis for refunds as Products have been customized or personalized.  A refund charge will be assessed.
